Terms of Service

1. Acceptance of Terms

By accessing or using the Neurofund platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Neurofund (“Company,” “we,” “us,” or “our”).

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our platform. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By creating an account, you represent and warrant that you meet this requirement and that all information you provide is accurate, complete, and current.

The Service is not available in jurisdictions where cryptocurrency trading or related activities are prohibited by law. It is your sole responsibility to determine whether your use of the Service complies with applicable laws in your jurisdiction.

3. Account Registration and Security

To use certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to update such information as necessary.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or are in violation of these Terms.

4. Service Description

Neurofund operates two distinct products under one platform:

(a) Neurofund Trading-Analytics Software (the “Software”): a software-as-a-service subscription that gives you access to algorithmic trading signals, market analytics, a strategy library, performance dashboards, and related software tools. The Software is sold on a recurring subscription basis (Starter, Pro, and Managed plans) and is software only — it is informational and analytical in nature and is not a financial product, financial advice, or a managed investment scheme. Any decisions to act on signals or analytics on your own exchange account are your sole responsibility.

(b) Managed Trading Allocation (the “Allocation Service”): a separate service, available to eligible verified users, where you allocate funds to algorithmic trading strategies operated by Neurofund. The Allocation Service is governed by a separate Allocation Agreement presented to you before you commit funds. Fees on managed assets and on realised performance are disclosed in the Allocation Agreement.

The two products are sold under separate commercial terms. Subscribing to the Software does not entitle you to use the Allocation Service, and using the Allocation Service does not require a Software subscription. Using the Allocation Service requires completion of identity verification (KYC) and acceptance of the Allocation Agreement.

We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service. We may modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

5. Software Subscription Plans and Free Trial

The Software is offered in tiered subscriptions (Starter, Pro, Managed) at the prices shown on our pricing page. New users are eligible for a 7-day free trial of Managed-plan Software features at no charge and without requiring a payment method on file.

At the end of the free trial, your account reverts to the free tier unless you subscribe to a paid plan. Paid subscriptions are billed in advance on the recurring cycle you select. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Subscription fees are for the Software only. They do not entitle you to any return, profit share, or managed allocation. Software fees are non-refundable except as required by applicable law.

5a. Payment Processing for Software Subscriptions

Software subscription payments are processed by Stripe, Inc. (“Stripe”). By subscribing, you authorise Stripe to charge your payment method on the recurring cycle you select. Charges appear on your statement as “NEUROFUND” or a similar descriptor. Your billing relationship for the card payment is with Stripe under Stripe’s terms of service.

5b. Funding Allocations and Deposits

To fund an Allocation, you may use the following methods:

  • Card via embedded on-ramp partners. Card deposits are processed by third-party fiat-to-crypto on-ramp partners (which may include MoonPay, Transak, Banxa, Mercuryo, or Ramp Network, routed via the Onramper aggregator). The on-ramp partner is the merchant of record for the card transaction, performs its own identity verification and anti-fraud checks, and delivers the funds to your Neurofund wallet. The on-ramp partner’s fee (typically 3–5% of the deposit amount) is disclosed to you before you confirm the deposit. Your contractual relationship for the card payment is with the on-ramp partner under its terms, not with Neurofund.
  • Cryptocurrency deposits via NOWPayments, our crypto payment partner. Cryptocurrency deposits are non-reversible once confirmed on the blockchain.
  • Bank transfer in supported jurisdictions and currencies.
  • Card payment via Stripe may be offered as a fallback in some circumstances. Where used for deposits, the transaction is processed by Stripe under Stripe’s terms.

Wallet balances held with Neurofund are denominated in United States Dollars (USD) for international customers and Australian Dollars (AUD) for Australian customers. Funds are held at our regulated banking partners (currently Wise Business for international balances; National Australia Bank for Australian balances) and are not commingled with Neurofund’s operating accounts.

5c. Withdrawals and Identity Verification

You may request a withdrawal of available funds from your Neurofund wallet at any time after completing identity verification (KYC). Identity verification is provided by our partner Sumsub (Sum and Substance Ltd.) with Onfido as an alternative provider in some jurisdictions.

Identity verification is required:

  • before your first withdrawal of any amount, and
  • once your account balance, any single deposit, or any single transaction reaches USD $5,000 (or AUD equivalent for Australian customers), whichever occurs first.

Withdrawal processing involves operator review and manual execution by our banking partner. Typical timing is 1–2 business days for bank withdrawals and 1–4 hours for cryptocurrency withdrawals (subject to blockchain confirmation times). Withdrawals may be delayed where required by law, where suspected fraud or sanctions matches are detected, or where you have not completed verification.

A 24-hour hold may apply to your first withdrawal following a card deposit. Cryptocurrency withdrawals are subject to network fees, which are disclosed before you confirm. Bank withdrawals are not subject to a Neurofund fee.

6. Trading Risk Disclaimer

IMPORTANT: Please read this section carefully.

Cryptocurrency trading involves substantial risk of loss and is not suitable for all investors. The value of cryptocurrencies can fluctuate significantly, and you may lose some or all of the funds you trade with or allocate. Past performance of trading signals, algorithms, or strategies is not indicative of future results.

Software (signals + analytics): the Software is informational. Any decisions you make to act on signals, analytics, or strategy recommendations on your own exchange account are your sole responsibility. Neurofund does not provide personalised financial, investment, tax, or legal advice through the Software, and Software outputs should not be relied on as personalised advice.

Managed Trading Allocation: allocations carry the risk of partial or total loss of allocated capital. Returns are not guaranteed. Historical performance shown in the platform is not a promise of future returns. Specific risk factors are disclosed in the Allocation Agreement at the time you commit funds.

By using the Service, you acknowledge that you are responsible for understanding the products you use and the risks involved.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Engage in market manipulation, fraud, or other deceptive practices
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated systems (bots, scrapers) to access the Service beyond the API access provided in your subscription
  • Share your account credentials or allow unauthorized access to your account
  • Use the Service for money laundering or terrorist financing

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to trading algorithms, machine learning models, software, text, graphics, logos, and user interface designs, are owned by Neurofund and are protected by copyright, trademark, patent, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial trading activities, subject to these Terms.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

To the maximum extent permitted by law, Neurofund and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claims arising under these terms shall not exceed the amount paid by you to Neurofund in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Neurofund and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration body in the jurisdiction of our principal place of business.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Termination does not affect your right to withdraw lawful, verified funds from your wallet subject to ongoing KYC/AML obligations.

14. Third-Party Services

The Service relies on the following third-party providers. Each provider operates under its own terms of service and privacy policy:

  • Stripe — software subscription billing
  • Onramper and underlying card on-ramp partners (MoonPay, Transak, Banxa, Mercuryo, Ramp Network) — card deposits to fund allocations
  • NOWPayments — cryptocurrency deposits and payouts
  • Wise Business and National Australia Bank — regulated banking partners for fiat balances
  • Sumsub and Onfido — identity verification (KYC), Politically Exposed Persons (PEP) screening, sanctions screening, and continuous AML monitoring
  • Bybit and other exchange partners — execution of trading strategies for Managed Trading Allocations
  • Cloudflare — security, DDoS protection, and bot-management (Turnstile)
